These Terms of Service ("Terms") govern access to and use of the website at ncaistrategypartners.com and any AI Opportunities Audit, Custom AI Agents & Workflows, AI OS, or related advisory services (the "Services") provided by NC AI Strategy Partners, the operating brand of NC Strategy Ops ("we," "us," "our"). By engaging our Services or using this website, you agree to these Terms.
We provide AI strategy advisory services, including opportunity audits, custom AI agent and workflow implementation, and related consulting, as described on this website or in a signed statement of work ("SOW"). Specific scope, deliverables, timelines, and fees for any engagement are set out in the applicable SOW or proposal, which forms part of these Terms once accepted in writing by both parties.
Fees, payment schedule, and invoicing terms will be agreed in writing prior to commencement of any paid engagement. Unless otherwise stated in a SOW, invoices are due within 14 days of issue. We reserve the right to suspend work on overdue accounts after written notice.
You agree to provide timely access to relevant personnel, data, and systems reasonably required for us to deliver the Services, and to ensure you hold all necessary rights and consents for any data or materials you provide to us.
Each party agrees to keep confidential any non-public business, technical, or client information disclosed by the other party in connection with the Services, and to use it only for the purposes of the engagement, except where disclosure is required by law.
Unless otherwise agreed in a SOW, pre-existing tools, methodologies, and frameworks we use remain our property. Deliverables created specifically for you under a paid engagement are assigned to you upon full payment, excluding our underlying tools and methodologies, which we retain the right to reuse.
Any personal data processed in connection with the Services is handled in accordance with our Privacy Policy and applicable data protection law, including the GDPR where relevant to clients or data subjects in the EU/UK.
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Services is limited to the fees paid by you for the specific engagement giving rise to the claim in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits or data.
Either party may terminate an engagement in accordance with the notice period set out in the applicable SOW, or immediately in the event of a material breach that is not cured within 14 days of written notice. You remain liable for fees for work performed up to the date of termination.
These Terms are governed by the laws of Ireland. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland, without prejudice to any mandatory consumer or local law protections applicable to clients based in the UK or USA.
We may update these Terms from time to time. Material changes will be reflected by an updated effective date on this page. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
